Terms of Service

Read the terms and conditions for using Suggesto's feedback widget and board services.

These Terms of Service ("Terms," "ToS," or "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and Nic Software di Niccolò Banti ("Suggesto," "we," "us," or "our") governing your access to and use of the Suggesto website, feedback widget, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Definitions

  • "Service" means the Suggesto platform, including the website (suggesto.io), feedback widget, public boards, dashboard, and all related features and functionality.
  • "Account" means your registered user account that allows you to access and use the Service.
  • "Board" means a feedback collection page created by you to receive and display user feedback.
  • "Feedback" means user-generated content (text, votes, comments) submitted through the widget or board interface.
  • "Widget" means the JavaScript code snippet that can be embedded on your website to collect feedback.
  • "Free Plan" means the basic tier with 1 board and up to 50 feedback items per board.
  • "Pro Plan" means the premium tier with unlimited boards and feedback, available for a one-time payment of $14.99.
  • "User Content" means any content, including feedback, comments, board descriptions, and other materials you submit or upload to the Service.

2. Acceptance of Terms

By creating an account, installing the widget, or using any part of the Service, you acknowledge that:

  • You have read, understood, and agree to these Terms
  • You have read and understood our Privacy Policy
  • You are at least 16 years old (or have parental consent if between 13-15 years old)
  • You have the legal capacity to enter into this binding agreement
  • You will comply with all applicable laws and regulations when using the Service

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Eligibility and Age Requirements

To use Suggesto, you must:

  • Be at least 16 years old
  • Users between 13 and 15 years old may use the Service only with verifiable parental or guardian consent
  • We do NOT knowingly collect data from children under 13 years of age
  • Provide accurate and complete registration information
  • Maintain the accuracy of your account information

We reserve the right to request proof of age or parental consent at any time. Failure to provide such proof may result in account suspension or termination.

4. Account Registration and Security

4.1 Account Creation

To access certain features, you must create an account by providing:

  • A valid email address
  • Optional: Full name, profile picture (via social login)

We use passwordless authentication (magic-link) or social login (GitHub, Google, etc.). You will not create a traditional password.

4.2 Account Security

You are responsible for:

  • Maintaining the security of your email account (magic-links are sent there)
  • Not sharing magic-links with others
  • Logging out from shared or public devices
  • Notifying us immediately of any unauthorized access or security breach

You are solely responsible for all activities that occur under your account, whether or not authorized by you. We are not liable for any loss or damage arising from your failure to maintain account security.

4.3 Account Restrictions

  • One account per person or organization
  • Creating multiple accounts to circumvent plan limits is prohibited and may result in suspension of all accounts
  • You may not sell, transfer, or share your account with others

5. Plans, Pricing, and Payment Terms

5.1 Free Plan

The Free Plan includes:

  • 1 feedback board
  • Up to 50 feedback items per board
  • Voting system (upvotes/downvotes)
  • Public board access
  • Community support (documentation)

When you reach the 50 feedback limit, new feedback submissions will be rejected until you upgrade to Pro or delete existing feedback.

5.2 Pro Plan

The Pro Plan is available for a one-time payment of $14.99 (USD) and includes:

  • Unlimited feedback boards
  • Unlimited feedback items per board
  • Comments and discussions on feedback (Pro-exclusive feature)
  • Email notifications for new comments and feedback
  • Priority email support

5.3 Payment Terms

  • Currency: All prices are in USD (United States Dollars)
  • Payment Method: Processed securely through our payment provider, Polar
  • One-Time Payment: The Pro Plan is a single, non-recurring payment (not a subscription)
  • Taxes: Prices do not include applicable taxes (VAT, sales tax, etc.), which will be added at checkout if required by law
  • Confirmation: You will receive an email confirmation and receipt after successful payment
  • Activation: Pro features are activated immediately upon payment confirmation

5.4 What "One-Time Payment" Means

The Pro Plan grants you access to Pro features for as long as the Service operates, subject to these Terms. However:

  • "Lifetime access" means for the lifetime of the Service, not necessarily forever
  • We reserve the right to modify, discontinue, or replace features with reasonable advance notice (see Section 11)
  • If we fundamentally change the business model (e.g., move to subscription-only), we will provide at least 36 months of continued Pro access
  • You will NOT be charged again unless you voluntarily purchase a new plan or upgrade

5.5 Price Changes

We reserve the right to change pricing for new purchases at any time. Price changes do NOT apply retroactively to existing Pro Plan purchasers—your one-time payment remains valid according to the terms at the time of purchase.

5.6 Refund Policy

We offer a 14-day money-back guarantee for Pro Plan purchases:

  • Eligible for refund if:
    • You request a refund within 14 days of purchase
    • The Service does not work as described in our documentation
    • You experience unresolved technical issues preventing use of Pro features
    • You have not extensively used the Pro features
  • NOT eligible for refund if:
    • More than 14 days have passed since purchase
    • You have extensively used Pro features (e.g., created 10+ boards, received 100+ comments)
    • You voluntarily decide to cancel your account
    • You violate these Terms resulting in account termination

To request a refund: Email suggestohq@gmail.com with your account email and reason for refund. We will review your request and respond within 5 business days. If approved, refunds are processed within 5-10 business days to your original payment method.

All refund decisions are at Suggesto's sole discretion. Refunds are final—you will lose access to Pro features upon refund processing.

5.7 Account Cancellation and No Refunds for Voluntary Cancellation

You may cancel your account at any time through your dashboard settings. However:

  • Canceling your account does NOT entitle you to a refund (unless within the 14-day guarantee period and meeting refund criteria)
  • You will lose access to all data and Pro features immediately upon cancellation
  • You have 30 days to export your data before permanent deletion

6. Intellectual Property Rights

6.1 Suggesto's Intellectual Property

The Service, including all software, code, designs, graphics, logos, text, and trademarks, is owned by Suggesto and protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your personal or internal business purposes, in accordance with these Terms.

You may NOT:

  • Copy, modify, distribute, sell, or lease any part of the Service
  • Reverse engineer, decompile, or attempt to extract source code
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use the Service to create a competing product or service
  • Use our trademarks, logos, or branding without prior written consent

6.2 Your Intellectual Property (User Content)

You retain all ownership rights to the content you create and submit through the Service, including:

  • Feedback text submitted by you or your users
  • Board descriptions, names, and configurations
  • Comments and discussions

You represent and warrant that:

  • You own or have the necessary rights to all User Content you submit
  • Your User Content does not violate any third-party rights (copyright, trademark, privacy, etc.)
  • Your User Content complies with these Terms and all applicable laws

6.3 License Grant to Suggesto

By submitting User Content, you grant Suggesto a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to:

  • Use, host, store, reproduce, modify, display, and distribute your User Content
  • Process and analyze User Content to provide and improve the Service
  • Create anonymized and aggregated data for analytics and service improvements

This license is necessary to operate the Service (e.g., display feedback on public boards, process votes, send notifications).

Duration of License:

  • The license continues for as long as your User Content remains on the Service
  • When you delete User Content or your account, the license terminates for that specific content
  • Exception: Anonymized and aggregated data may be retained and used indefinitely (this data cannot be linked back to you)

6.4 Feedback to Suggesto

If you provide suggestions, ideas, or feedback about the Service to Suggesto (via email, feedback widget, or otherwise), you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use such feedback for any purpose, including improving and marketing the Service, without any obligation to you.

7. Acceptable Use Policy

You agree NOT to use the Service for any unlawful, harmful, or abusive purpose. Prohibited activities include, but are not limited to:

7.1 Illegal or Harmful Content

  • Posting illegal, fraudulent, defamatory, or misleading content
  • Sharing content that promotes violence, hate speech, discrimination, or harassment
  • Posting sexually explicit, obscene, or indecent material
  • Distributing malware, viruses, or other malicious code
  • Violating intellectual property rights (copyright, trademark, trade secrets) of others

7.2 Security Violations

  • Attempting unauthorized access to the Service, servers, or networks
  • Hacking, reverse engineering, or tampering with the Service
  • Circumventing authentication, security measures, or rate limits
  • Interfering with or disrupting the Service or servers
  • Launching denial-of-service (DoS) attacks or similar disruptive activities

7.3 Spam and Abuse

  • Submitting spam, duplicate, or irrelevant feedback
  • Using automated tools (bots, scripts) to submit feedback or votes without authorization
  • Manipulating the voting system by creating fake accounts or coordinating vote brigading
  • Sending unsolicited emails or messages using the Service
  • Overloading the Service with excessive requests or data

7.4 Misuse of Widget and API

  • Embedding the widget on websites that violate these Terms or applicable laws
  • Using the widget to collect personal or sensitive information without user consent
  • Scraping or harvesting data from the Service without permission
  • Exceeding fair use limits (e.g., creating thousands of boards even on Pro Plan)

7.5 Privacy Violations

  • Collecting, storing, or sharing personal information of others without consent
  • Posting private or confidential information (doxxing)
  • Impersonating others or misrepresenting your identity or affiliation

7.6 Consequences of Violation

If you violate this Acceptable Use Policy, we may, at our sole discretion:

  • Issue a warning for minor or first-time violations
  • Remove or hide violating content
  • Temporarily suspend your account (typically 7-30 days)
  • Permanently terminate your account without refund
  • Report illegal activity to law enforcement
  • Take legal action to recover damages or seek injunctive relief

We reserve the right to investigate suspected violations and cooperate with law enforcement. Serious violations may result in immediate termination without prior notice.

8. Disclaimers and Limitation of Liability

8.1 "AS IS" and "AS AVAILABLE" Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties that the Service will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy, reliability, or completeness of content
  • Warranties that defects will be corrected or that the Service is free of viruses or harmful components

We do NOT guarantee that:

  • The Service will meet your specific requirements or expectations
  • The Service will be available at all times (downtime may occur for maintenance, updates, or technical issues)
  • User Content is accurate, appropriate, or non-infringing
  • Feedback submitted through the widget will always be successfully collected

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUGGESTO (INCLUDING ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS) SHALL NOT BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages, including but not limited to:
    • Loss of profits, revenue, data, or business opportunities
    • Business interruption or loss of goodwill
    • Cost of substitute services
    • Reputational harm
  • Direct damages exceeding the greater of:
    • The amount you paid to Suggesto in the 12 months preceding the claim, OR
    • $50 USD

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we were advised of the possibility of such damages.

8.3 Exceptions to Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations and exclusions apply only to the extent permitted by law.

These limitations do NOT apply to:

  • Damages caused by our gross negligence, willful misconduct, or fraud
  • Violations of intellectual property rights (see Indemnification)
  • Death or personal injury caused by our negligence
  • Other liabilities that cannot be excluded or limited by law

8.4 Third-Party Services and Content

The Service may integrate with or link to third-party services (Supabase, Vercel, Resend, Polar, social login providers). We are NOT responsible for:

  • The availability, accuracy, or content of third-party services
  • Third-party terms of service or privacy policies
  • Actions or omissions of third-party providers

Your use of third-party services is at your own risk and subject to their respective terms and policies.

9. Indemnification

You agree to indemnify, defend, and hold harmless Suggesto (and our officers, directors, employees, agents, and affiliates) from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms or any applicable laws or regulations
  • Your User Content, including any infringement of third-party intellectual property rights or privacy violations
  • Your violation of any rights of another person or entity
  • Any fraudulent, unlawful, or negligent activities related to your account

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully with us in asserting any available defenses.

This indemnification obligation survives termination of your account and these Terms.

10. Termination

10.1 Termination by You

You may terminate your account at any time by:

  • Going to your dashboard settings
  • Clicking "Delete Account"
  • Confirming the deletion (requires confirmation to prevent accidental deletion)

Effects of voluntary termination:

  • Immediate loss of access to the Service
  • Your personal data will be deleted within 30 days (see Privacy Policy)
  • Public feedback you created will be anonymized (content preserved, but your name/email removed)
  • You have 30 days to export your data before permanent deletion
  • No refunds for voluntary account cancellation (unless within 14-day guarantee period and meeting refund criteria)

10.2 Termination by Suggesto

We may suspend or terminate your account, with or without notice, if:

  • You violate these Terms or our Acceptable Use Policy
  • You engage in fraudulent, illegal, or abusive behavior
  • Your account has been inactive for more than 3 years (with advance notice)
  • We are required to do so by law or regulatory authority
  • Continuing to provide the Service to you creates legal or security risks

Immediate termination without notice may occur for:

  • Serious security violations (hacking, unauthorized access)
  • Illegal activities (fraud, distribution of illegal content)
  • Severe or repeated violations of Acceptable Use Policy

Effects of termination by Suggesto:

  • Immediate loss of access to the Service
  • No refund for Pro Plan payments (termination due to your violation)
  • We may delete or anonymize your User Content at our discretion
  • You may be prohibited from creating a new account

10.3 Survival of Terms

The following sections survive termination or expiration of these Terms:

  • Intellectual Property Rights (Section 6)
  • Disclaimers and Limitation of Liability (Section 8)
  • Indemnification (Section 9)
  • Governing Law and Dispute Resolution (Section 13)
  • Any other provisions that by their nature should survive

11. Modifications to the Service and Terms

11.1 Changes to the Service

We reserve the right to modify, update, improve, or discontinue the Service (or any part thereof) at any time, with or without notice. This includes:

  • Adding, removing, or modifying features
  • Changing the design, interface, or user experience
  • Implementing new technologies or security measures
  • Discontinuing the Service entirely

For significant changes that negatively impact existing functionality, we will:

  • Provide at least 30 days' advance notice via email and in-app notification
  • Explain the nature of the changes and reasons
  • Offer alternatives or workarounds when possible

If we discontinue the Service entirely, Pro Plan users will receive:

  • At least 90 days' advance notice
  • Ability to export all data
  • Pro-rata refund if Service discontinuation occurs within 36 months of your Pro purchase (calculated based on remaining months)

11.2 Changes to Terms

We may update these Terms from time to time to reflect changes in:

  • Legal or regulatory requirements
  • Service features or functionality
  • Business practices or policies

When we make material changes to these Terms:

  • We will update the "Last Updated" date at the top
  • We will notify you at least 30 days before the changes take effect via:
    • Email to your registered email address
    • Prominent banner notification in your dashboard
  • You will have the opportunity to review the new Terms

Your options after notification:

  • Accept: Continue using the Service (constitutes acceptance of new Terms)
  • Reject: Delete your account before the effective date (see Section 10.1 for cancellation process and refund eligibility)

Continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes.

Non-material changes (typo fixes, clarifications, formatting) may be made without notice, but the "Last Updated" date will always reflect the most recent version.

12. Force Majeure

Suggesto shall not be liable for any failure or delay in performance due to events beyond our reasonable control, including but not limited to:

  • Natural disasters (earthquakes, floods, hurricanes, fires)
  • Acts of war, terrorism, civil unrest, or government actions
  • Pandemics or public health emergencies
  • Strikes, labor disputes, or supplier failures
  • Internet or telecommunications infrastructure failures
  • Failure of third-party services (Supabase outage, Vercel downtime, etc.)
  • Power outages or utility failures
  • Cyberattacks or security incidents beyond our control

During a force majeure event:

  • We will make reasonable efforts to notify you and minimize service disruption
  • Service Level Agreements (if any) and uptime guarantees are suspended
  • Scheduled maintenance and planned downtime are NOT considered force majeure

If a force majeure event continues for more than 60 consecutive days, either party may terminate the agreement without penalty by providing written notice.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Italy, without regard to its conflict of law principles.

13.2 Jurisdiction

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Florence, Italy.

13.3 Mediation (Optional)

Before initiating formal legal action, the parties agree to attempt to resolve disputes through good-faith negotiation and, if necessary, mediation. We encourage you to contact us first at suggestohq@gmail.com to resolve any issues informally.

13.4 Consumer Protection Rights

Nothing in these Terms limits your rights as a consumer under applicable EU or Italian consumer protection laws. If you are a consumer located in the EU, you may also have the right to bring disputes before the courts in your country of residence.

13.5 Limitation Period

Any claim or cause of action arising out of or related to the Service or these Terms must be filed within one (1) year after the claim or cause of action arose, or it will be permanently barred.

14. Miscellaneous Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Suggesto regarding the Service and supersede all prior agreements, understandings, or communications (written or oral).

14.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14.3 Waiver

Our failure to enforce any right or provision of these Terms does NOT constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Suggesto.

14.4 Assignment

You may NOT assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets without your consent. Any unauthorized assignment is void.

14.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights. Only you and Suggesto are parties to this agreement.

14.6 Notices

All notices to you will be sent to the email address associated with your account. Notices are considered delivered 24 hours after sending.

To send notices to us, use the contact information in Section 15 below. Notices must be sent via email or registered mail.

14.7 Language

These Terms are written in English. Any translations provided are for convenience only. In case of discrepancies, the English version prevails.

14.8 Relationship of Parties

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Suggesto. You are an independent user of the Service.
